一笔双赢交易 (a win-win deal)

Study notes for  五矿(Minmetals) 收购 (acquire) 嘉能可(Glencore) Las Bambas 铜矿 (copper mine),一笔双赢交易 (win-win deal)?

五矿为首(lead) 财团(consortium) 与嘉能可 (Glencore)  签订 (sign) Las Bambas铜矿交易协议 (trade agreement), 或成为中资海外矿业收购(acquisition of overseas mining resources) 标志性 (iconic) 转折点 (turning point),同时它也符合嘉能可的长期策略 (long-term strategy).

首 先引人注目(noticeable) 的是其 规模(size,scale),包括资本支出(capital expenditures) Las Bambas铜矿交易价值超过60亿美元,是中资迄今最大单笔海外矿业收购(overseas mining acquisitions)。该铜矿完工后头10年每年将出产46万吨铜,相当于2013年中国全部铜进口(total copper imports) 的13%。通过这笔交易中国将对国内工业(industry)急需的原材料(raw material)拥有更大的控制权。中国的铜需求(demand)占到了全球(global)需求的大约40%。

更为重要的是(more importantly),这笔交易可能标志着中资矿业集团海外收购翻身仗(turnaround)。此前中信泰富(CITIC)在澳大利亚(Australia)投资百亿美元的铁矿项目(iron ore project),饱受超支(overrun)困扰后历经7年后首船矿砂才装运出港。

尽管对Las Bambas铜矿60亿美元投资对五矿来说有一定风险(risk),但嘉能可已经完成了部分「去风险」工作,因为铜矿的前期基础设施建设(infrastructure)已经完成。

完成这笔交易对嘉能可同样是决定性的。60亿美元现金(cash)几乎到达了嘉能可要价上限,这对于刚刚完成收购斯特拉塔,亟需现金补偿(compensation)股东(shareholder)的嘉能可而言非常重要。

同时出售秘鲁(Peruvian)铜矿资产,嘉能可还满足了中国商务部(Chinese Ministry of Commerce)对其收购斯特拉塔的反垄断(anti-trust)审查条件(review criteria)。

更为重要的是,开发Las Bambas铜矿这类需要大量资本投入(significant capital investment)的「绿地矿山」,不符合大宗商品交易巨头(commodities trading giant)嘉能可的核心策略(core strategy)。而在大宗商品超级周期结束,特别是铜价格下跌背景下,斥巨资开发新矿不符合投资者利益(interests of investors)。

铜价长期内上涨可能成为嘉能可不出售(sell) 资产(asset)的理由,但是中国财团最终提供了一个相当诱人(attractive)的报价。

嘉能可首席执行官(CEO)Ivan Glasenberg在交易声明(trading statement)中说:「我们愿意出售资产是基于对报价水平的反应。」这暗示嘉能可在作出战略决定前曾经有激烈的斗争(fierce struggle)。

然而获得60亿美元现金至少能让嘉能可暂时远离评级机构(rating agencies)的降级(downgrade),特别是在大宗商品价格前景不明的2014年。这还让Ivan Glasenberg有足够sufficient财力寻找比Las Bambas铜矿更具潜在回报力(potential return)的投资机会(investment opportunities)。

至少市场目前对这笔交易的评价是正面的(positive)。周一收盘 (closed)五矿资源在港交所(HKEx) 上涨(rise) 8.82%,为每股(per share) 1.850港元,嘉能可则上涨(rise) 0.62%,收报每股40.75港元。

Get well prepared for meeting with Chinese high level managers 與內地公司高層開會的準備工作

At the coffee shop of Alexander House, I met CT, helping her preparing a meeting with Mainland high level managers.  CT already wrote some notes in English, and I interpreted and better expressed in Chinese Mandarin.

在歷山大廈的咖啡廳,我幫CT準備一個與內地公司高層會議的講話內容。

首先當然是寒暄。遞上卡片,介紹彼此,一般先是把職位低的人介紹給職位高的客人。進一步的寒暄還包括更多的聯繫,比如上個月在哪裡見過貴公司的某某,新聞說起貴公司的業績很好等等。讓貴公司覺得你們一直都很關注他們。

回顧一下過去的交流或者合作意向 (initiatives),現在是時候進行進一步合作啦。

然後,介紹公司業務及服務,目標,有過哪些成功的案例。與高層會面就介紹高層次的內容,當然細節也要心中有數。

再介紹哪些人會幫手負責貴公司的項目,希望對方拍板合作。

還要準備一個常問問題list,比如哪些同類客戶公司的成功案例可參考、 與本公司競爭者相比有什麼強弱項等。

只要多練習、勤準備,用準備普通話的speech或會議,對以中文/廣東話母語的人來說,不會是一件難事。

Sleep No More

跟我學普通話的朋友們,除了最多的金融界人士,原來也有廣告藝術等,我也很享受和他們交談的過程。

這一天,聽W說她的美國之行,拍廣告、和明星一起、安排行程及應對突發事件、遊歷各名勝古蹟。  最有趣的,莫過於她介紹的Immersive Theater (虛擬實境戲劇)------- Sleep No More。在一棟五層樓高的旅館演出Macbeth,演員在不同樓層的房間演繹,同時發生著不同的故事。觀眾都帶面具,跟著不同角色穿梭於旅館的不同房間,觀看不同的劇情,身臨其境。

meeting a clown

恬静的午后,在咖啡店,约了一个普通话学生。我教过很多从事不同工作的人士,但还没教过表演者,比如小丑。这一次,是遇见了。

谈起他的各种表演,杂技、独轮车、魔术、扭气球、哑剧、活雕像、踩高跷、演戏、栋笃笑(单口相声)、 火藝、大气球表演、木偶表演等等。我们尝试用中文介绍他的表演。

颇喜欢教来自不同背景的人士普通话,因为清谈中,也可以感受另一种职业的生活。

Busines Chinese textbooks

If you want to learn Business Mandarin, I have two textbooks to recommend:

A Kaleidoscope of China: An Advanced Reader of Modern Chinese (Princeton Language Program: Modern Chinese)
It is an advanced Chinese-language textbook that gives students a greater command of Chinese while deepening their understanding of the social and cultural issues facing China today.

普通話做報告 Presentation in Mandarin

向客戶介紹公司產品、服務或創意,都需要做報告(presentation)。如果客戶來自內地而你不會普通話,就需要逐句翻譯,這樣容易打斷報告的思路也很費時。我常有一些學生,因為要做presentation而來學習普通話,這有一些經驗,分享給大家。

Presentation一般都有具吸引力的PowerPoint slides,準備這些slides的時候,首先要了解客戶的背景、需要,自己產品/公司的優勢(劣勢也要心知,萬一客戶提問如何化解),如何為客戶提供量身定做的服務,有哪些案例分享。盡量多地收集資料,寫出框架,再加入材料使之有血有肉,然後加入圖片圖表美化它。

其實,我大部分學生的情況是,這些slides已經有英文版的,中文由英文翻譯過來的,但未必貼切,需要從頭到尾檢查內容:
  • 翻譯的語言是否通順 (英文的句法和中文不同,注意句子結構對稱等)
  • 文字風格是否一致(有時候文縐縐,有時候突然口語化,就不那麼好看)
  • 表達是否合乎中國人的習慣(例如國內人說 ”萬“ 而非 “十千”)
  • 文字不用寫得太多,適當加入圖表、圖像更具吸引力
  • 標點符號、字體、繁體簡體等細節(句號、頓號、逗號...)
 此時,你和我都對介紹內容有一些了解,下一步就要深入練習表達每個頁面。
在說的時候,有些同學往往習慣於用英文的思維,甚至在腦子裡把英文翻譯成廣東話再翻譯成普通話。這樣一來,可以說的內容就不多了。所以,我們需要練習如何speak out:
  • 練習一些常用語(例如,今天很高興向您介紹...公司...產品,產品的優勢在哪、能給您帶來...好處)
  • 加入連接詞(例如,首先、其次、再次、然後)
  • 按照需要,可以寫notes,並加上拼音
  • 準備一些案例分享(slides所寫的往往是概述,當客戶有興趣知道深層次的內容時候,就需要案例,有經驗的介紹者往往有很多成功案例供客戶參考)
  • 及時吸引客戶的注意力(適當的時候提提問題,例如:你在工作中有沒有遇過..問題,我們的產品可以解決這個問題)
  • 可流利表達者,還可以注意語言的抑揚頓挫
每個頁面都深入練習之後,往往你已經有些信心來做這個報告了。有時間的話,還可以:
  • 讓老師錄音一次,然後反复聽錄音。
  • 自己多練習(rehearsal), 讓老師看看有什麼改進的地方。
  • 準備客戶可能提出的問題及充分考慮後的答案(寫出Q&A list)。
通過這樣的準備,你真的做報告的時候,既有自信又有能力去贏得客戶。

Private Equity and Hedge Fund Interview in Mandarin

Recently I read the book "Vault Guide to Private Equity and Hedge Fund Interview" and get more ideas about PE and HF.    At the same time, I help L review financial terms, explain transactions, talk about investment thesis and prepare answers to interview questions in Mandarin.

Like most of the banking elite,  L has a very good education background, specialist skills, significant work and deal experience.

After being better equipped with Mandarin skills, I really believe she can make another big progress in her future career.

A French Girl Interested in Chinese Culture and Language

C is from France, kind, gentle, with artistic temperament.She is versatile and interested in Chinese culture and language.  

We talk about Chinese cities, French culture, business topics (such as greetings, exchanging name cards, telephone talks, meetings) and so on. I also point out some Chinese grammars to help her make sentences more fluently.

買了兩本書,都是Business Mandarin有關的。 希望可以跟普通話同好們交流更多!

《商業普通話應用大全》有150個常見商業情景,比如公司內外的商談、協商合同條款、出差時的入境檢查對話,以及社交閒談。



《實用會計及金融普通話》則更適合會計和金融界人士,書末更附有一些常用字詞。蠻好!

Mandarin Teaching

二零一零年就快過去了。這一年,我因在業餘時間教授普通話而與一些朋友結緣。與他們相處的時間雖然短暫,但他們每個人就像一顆熠熠發光的珍珠,豐富了我的人生歷程。

A 女士
一天中午,A女士打給我,她要準備一個中資公司trader職位的面試。那時,我也正準備自己的一個面試,於是我們一起收集目標公司的背景資料,嘗試提問和回答一些常問問題。 她有十幾年的工作經驗,着實教會了我一些與人相處的道理呢。另外,她快樂的人生觀也深深感染了我。

B 先生
機緣巧合,認識了 B先生。一個外國人,中文說得不錯,甚至可以流利地說幾囯語言(據説得益於Pimsleur),已經做到了公司高管,可他仍然想提高中文水平,甚至參加中國漢語水平 (HSK) 考試。無論多麽忙碌甚至餓着肚子,他也會堅持完成學習計劃。 他說,一年有52個星期,如果每個星期都學一點東西,那麼一年已經可以累積一大筆財富。 同優秀的人接觸,我自己也不知不覺被人家的工作態度、生活態度感染。

C 先生
C 先生也是一位很上進的會計專才,年紀輕輕已經考完 CFA Level 3。聊起他在大學時的課外活動,在四川時的工作經歷,如何適應中國的企業文化,如何邊工作邊準備專業資格考試。他一直都在努力朝自己的理想邁進。

J 小姐
J 小姐是很有親和力的金融界美女,也是最認真學普通話和取得最多進步的一位。她工工整整地寫下很多筆記;我也很盡職地講解,並為很多生詞及段落錄音。十分高興聼她分享一些案例和金融界的趣事。

K 先生
K 先生畢業自美國名校,之前在美國大公司工作,今年來香港從事金融分析工作。他的中英文都不錯,但因為要結合中國國情分析一些礦產資源,於是我在一起讀中國的經濟新聞,談論中國的地理、文化、政策等等。很欣賞他那種努力工作、敢拚敢闖的個性。

英國小姑娘 M 和 K
兩個小姑娘都是英國人,在國際學校讀書,很活潑,多才多藝。 外國人學中文可比中國人學外語難呀。但她們努力工整地寫着方塊字,說中文,體驗中國文化,甚至家裏的佈置都頗有中國特色呢。

L 小姐
L小姐是一位美麗的法律界精英,雖然是在英國讀大學,但中英文都非常好。為了幫她更好地了解中國國情,我們在一起讀一些與法律或並購相關的案子的新聞。閒談中,我也了解了一些很有趣的事情呢。

印度小男孩 P
P 去年才從 Mumbai 隨父母來香港,在了一家國際學校念書,之前對中文的認識是零。在這一年,他很努力地學習拼音和漢字,我也幫他記憶字形構造和講解功課,談論一些能引起他興 趣的話題(木球、電腦遊戲、世界地圖等),加上他母親的配合,現在他的中文在班上名列前茅。我也讀一些書,嘗試了解印度。

S 先生
S 先生也是來自印度,MBA,嚮往中國文化,心懷創業夢想。他會拼音,甚至能寫一些漢字。每次總是認認真真做筆記,練習日常用語,已經頗會一些中文了。

T 小朋友
五嵗的 T 小朋友是住在山頂的英國人,會說好幾種語言,又聰明又勇敢。因為他,我坐的士去山頂,帶着一顆童心,一起曡紙飛機、玩水花、做遊戲、畫畫兒,寓學習於娛樂中。

V 小姑娘
每次見到V 小姑娘,我都讓她寫一篇日記記錄下生活中的趣事。從只能寫幾句、很多英文夾雜,到現在她已經能寫滿一頁,時間地點人物事件俱全。那些兒時的趣事,在她長大後看來,一樣會那麼美好吧。

W 兄弟
認識一對W字頭的兄弟要練習法律方面的普通話,於是我收集法律行業的學習資料,同時也幫他們修改中文的自我介紹和準備一些見工的問答。

Medical Mandarin

If you are a doctor and want to brush up your Mandarin skills...

A successful case
I got to know W 5 years ago when I was in University. He is an A&E (accident and emergency) doctor and professor, who often gives presentations to mainland organizations.

He knew Chinese characters well, but not good at Mandarin. So our focus was preparing and practising presentations. Most of our topics were about emergency treatments. Sometimes we also talked about management skills and Edward de bono. He introduced the slides, and I marked the pinyin for difficult words for more practice.

He is full of planning and working hard. After several months, he can give presentations in Mandairn fluently.
